Service Agreement // SaaS Platform

These Terms and Conditions (“Terms”) govern your access to and use of the Software-as-a-Service (SaaS) platform provided by TechFlow Solutions OÜ (“we”, “us”, “our”). By accessing or using our services, you agree to be bound by these Terms.

Scope of Services

We provide access to a SaaS platform, including related features, functionalities, and support services as defined within the product offering.

Contractual Hierarchy

These Terms apply generally to all users of our services. However, specific terms may be defined in:

  • »Customer agreements
  • »Subscription plans
  • »Statements of Work (SOW)
  • »Product-specific terms

In the event of any conflict, the signed contract or agreement between the customer and TechFlow Solutions OÜ shall prevail over these general Terms. These Terms form part of the broader contractual framework and may be supplemented, modified, or overridden by individual agreements.

Account Registration & Responsibilities

Users must:

  • »Provide accurate and complete information
  • »Maintain the confidentiality of login credentials
  • »Be responsible for all activities under their account

We reserve the right to suspend or terminate accounts in case of misuse or violation of these Terms.

Acceptable Use

You agree not to:

  • »Use the service for unlawful purposes
  • »Interfere with system integrity or security
  • »Attempt unauthorized access to data or systems
  • »Reverse engineer or misuse the platform

Fees and Payments

Access to certain features may require payment. Pricing, billing cycles, and payment terms are defined in the applicable subscription plan or contract.

Payments are non-refundable unless otherwise specified in a separate agreement.

Intellectual Property

All rights, title, and interest in the platform, including software, branding, and content, remain the exclusive property of TechFlow Solutions OÜ.

Users are granted a limited, non-exclusive, non-transferable license to use the service in accordance with these Terms.

Data Protection and Privacy

  • »Our handling of personal data is governed by our Privacy Policy.
  • »Where applicable, a Data Processing Agreement (DPA) governs how we process data on behalf of customers.

Service Availability

We aim to ensure high availability but do not guarantee uninterrupted service. Maintenance, updates, or unforeseen issues may result in temporary downtime.

Limitation of Liability

To the maximum extent permitted by law:

  • »We are not liable for indirect, incidental, or consequential damages
  • »Our total liability is limited to the amount paid by the customer in the preceding 12 months, unless otherwise agreed

Termination & Right to Refuse Service

We may suspend, restrict, or terminate access to the services:

  • »If you breach these Terms
  • »If required by law
  • »As defined in any applicable contract

Discretionary Refusal

In addition, TechFlow Solutions OÜ reserves the sole right, at its reasonable discretion, to refuse, suspend, or immediately terminate services where:

  • »The use of the service may harm or compromise the company’s reputation, integrity, or standing in the market
  • »There is suspicion or indication of unlawful, fraudulent, or abusive activities
  • »The customer, its representatives, or affiliates are subject to investigations or proceedings related to illegal activities, regardless of the outcome

Such actions may be taken without prior notice where reasonably necessary to protect the company, its infrastructure, or third parties. Customers may terminate services according to their contractual agreement.

Governing Law

These Terms are governed by the laws of Estonia, unless otherwise specified in a signed agreement.

Terms and conditions may vary depending on the specific product, service, or contractual agreement in place. For any inquiries, clarifications, or disputes regarding applicable terms:

Changes to These Terms

We may update these Terms from time to time. Continued use of the service after updates constitutes acceptance of the revised Terms.
